Logo Design Agreement

 

This Logo Design Agreement ("Agreement") is entered into on November 24, 2023, between KAI Digital Marketing, hereinafter referred to as "Designer," and Kristy Coleman, hereinafter referred to as "Client."

 

1. Scope of Work:

   a. Designer agrees to provide a minimum of three (3) unique logo design options for the Client's consideration.

   b. Client may request up to three (3) rounds of revisions to ensure the final logo aligns with their vision.

 

2. Deliverables:

   a. Designer will deliver the final logo design in various file formats, including .ai, .jpg, .png, .eps, and scalable vector files (SVG).

   b. Social Media Platform-Specific Logos: The Designer will provide optimized logos for two (2) popular social media platforms chosen by the Client.

 

3. Payment:

   a. Client agrees to pay the agreed-upon fee for the logo design services as outlined in the invoice provided by Designer.

   b. Payment is non-refundable, and no refunds will be issued once the design process has commenced.

 

4. Timeline:

   a. The timeline for the completion of the logo design will be mutually agreed upon by both parties.

 

5. Ownership and Usage:

   a. Upon full payment, Client owns the rights to the final logo design for their business use.

   b. Designer retains the right to display the completed work in their portfolio and marketing materials.

 

6. Confidentiality:

   a. Both Designer and Client agree to keep confidential any proprietary or sensitive information shared during the design process.

 

7. Termination:

   a. Either party may terminate this Agreement with written notice if the other party breaches any material term of this Agreement. However, payment is non-refundable.

 

8. Governing Law:

   a. This Agreement shall be governed by and construed in accordance with the laws of [Oakland County/Michigan/USA].

 

9. Entire Agreement:

   a. This Agreement constitutes the entire understanding between Designer and Client and supersedes any prior agreements or understandings, whether oral or written.

 

By accepting this proposal, both parties acknowledge their understanding and agreement to the terms outlined in this Logo Design Agreement.
